1. Introduction
Copyright Agency Limited (CAL) is committed to open and transparent relationships with stakeholders. Good corporate governance is an essential element of these relationships.
CAL’s Board and management respond flexibly to and reflect on the changing terms and conditions of the industry in which CAL operates, with key focus on the needs of members.
Consequently, the guiding principle of governance at CAL is that the Board and management of CAL transact with each other, CAL’s members and the users of CAL services in an open, transparent and accountable manner.
In order to achieve open, transparent and effective management, governance documents cannot be static. The Board and management of CAL constantly review and improve the governance of CAL, and therefore this document is a moving and evolving document.
The Board will add to the governance document through a separate update section that notifies important decisions of the Board and of management. This update will be published regularly on the web and in CAL publications. By this regular updating, CAL will identify within its own organisation and to its members and copyright users, shifts in industrial practice and intellectual property practices affecting the copyright owner, creator and user communities.
This document is a guide to define and specify the respective roles of the individual Directors, the Board as a whole, the Chief Executive Officer, and other company officers and senior executives in relation to the Board and CAL members. Prior to the appointment of any new directors, or any new executive employees of CAL, CAL will ensure that each person has read and understood the contents of this document.
Changes to the Corporate Governance Statement and the policies contained in it can only be made with the Board’s approval.
